2. Website terms of use
By using this website you agree to these terms. If you do not agree, please do not use the site.
- All content on this website (text, graphics, code and design) is owned by or licensed to MM Consulting & Accounting Ltd and is protected by copyright and trade mark laws.
- You may view and print pages for your own personal use, subject to the restrictions in this clause.
- You must not modify, copy, reproduce, republish, upload, post, transmit or distribute any material from this website without our prior written consent.
- You must not use the website in any way that is unlawful, fraudulent, or harmful, or in connection with any unlawful, fraudulent, or harmful purpose or activity.
3. Information on the website
The content on this website is for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice (from us or another qualified adviser) before taking, or refraining from, any action on the basis of content on this website.
We make no representations, warranties or guarantees, whether express or implied, that the content on our website is accurate, complete or up to date.
4. Engagement for professional services
Nothing on this website constitutes an offer by us to enter into a client engagement. All services are provided under a separate, written engagement letter which sets out:
- the scope of work;
- the fees, payment terms and any disbursements;
- deliverables, timelines and dependencies;
- confidentiality, data protection and information-security obligations;
- limitations of liability;
- termination and dispute-resolution mechanisms.
Where any conflict exists between these website terms and a signed engagement letter, the engagement letter prevails.
5. Fees
Fees are quoted in pounds sterling (£) unless otherwise stated, and are exclusive of VAT unless explicitly stated. Invoices are payable within 14 days of issue by bank transfer or Direct Debit. Late payment interest may be charged under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Confidentiality
Information shared with us in the course of an engagement is kept confidential and used only for the purposes of delivering the agreed services, complying with legal obligations (for example HMRC, Companies Act, Money Laundering Regulations 2017), or defending our legitimate interests.
7. Limitation of liability
Nothing in these terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot be limited by law.
Subject to that, our total liability to you in relation to any single engagement is capped at the lower of (a) the fees paid or payable for that engagement, or (b) the amount recoverable under our professional indemnity insurance in respect of the claim. This cap will be re-stated in each engagement letter and is negotiable subject to our underwriters' agreement.
We will not be liable for any loss of profits, loss of business, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss.
8. Third-party platforms
We may recommend or help implement third-party platforms (for example Xero, QuickBooks, SAGE, SAP, cloud AI providers). Those platforms are governed by their own terms and privacy notices. We are not responsible for changes they make to their products or terms; we will always flag material risks before recommending a platform.
9. Intellectual property
Unless expressly agreed in an engagement letter, we retain ownership of pre-existing intellectual property, templates, methodologies and know-how used to deliver services. You receive a non-exclusive licence to use the deliverables for the purpose for which they were prepared.
10. Data protection
Our collection and use of personal data is described in our Privacy Policy. Where we process personal data on your behalf as part of an engagement, a Data Processing Agreement (DPA) will be put in place.
11. Anti-money-laundering
We are supervised by AAT for anti-money-laundering purposes. We are required to carry out customer due diligence (CDD) checks before accepting new clients. Failure to provide CDD information or a suspicious transaction pattern may cause us to decline or exit an engagement. Where we are required by law to make a Suspicious Activity Report, we will not tell you (as doing so would be a criminal offence).
12. Termination
Either party may terminate a website visit at any time by closing the browser. Termination of a professional engagement follows the terms of the relevant engagement letter.
13. Complaints
If you have a complaint, please email enq@mmcaservices.com. We will acknowledge within 3 working days and aim to resolve within 10 working days. If you are a regulated individual and we cannot resolve matters, you may also refer to the complaints procedure set out in our engagement letter.
14. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales, with the courts sitting in Leeds as the agreed venue for any proceedings, except that we retain the right to bring proceedings in another jurisdiction where fraud or infringement of our intellectual property is alleged.
15. Changes to these terms
We may change these website terms from time to time. The "last updated" date above shows when the most recent change was made. Continued use of the site after an update constitutes acceptance of the revised terms.
